1. Revenue Share
You receive the revenue share percentage specified in your creator invitation for each asset sold through DungeonStock. DungeonStock retains the remainder as a platform fee. Founding creators receive an elevated rate as detailed in their invitation. Revenue share percentages may be adjusted by the platform with 30 days' written notice. Custom revenue share arrangements may be offered at the platform's discretion and will be documented separately.
1.1 Revenue Pool & Gold Redemptions
When a buyer obtains your content by redeeming Gold, it does not generate a direct sale earning. Instead, revenue not attributable to a specific purchase — including subscription fees and Gold purchases — is collected into a periodic revenue pool shared among creators. DungeonStock determines the pool amount and each creator's share each period, based on buyer engagement with creators' content (including Gold redemptions) as described on your creator dashboard. Your share is not tied to any individual buyer's payment, and Gold entitles you to no specific amount. DungeonStock's calculation is final absent manifest error. We may change the pool's funding sources, calculation method, distribution timing, bonuses, and how refund or withdrawal losses are allocated, on the notice terms in Section 1 (at least 30 days' advance notice of material changes).
2. Intellectual Property License
You retain full ownership of all assets you upload to DungeonStock. By uploading, you grant DungeonStock a non-exclusive, worldwide, royalty-free license to host, store, reproduce, reformat, display, distribute, promote, deliver, and process your assets — including generating search indexes and running automated content moderation — as needed to operate and market the platform, including through service providers acting on our behalf. We will not license your assets to third parties for their own independent use, other than the buyer licenses you authorize.
Survival for existing buyers. To the extent necessary to honor buyer licenses granted before this agreement ends, the license in this Section is irrevocable and survives termination solely so that DungeonStock and its successors may continue to host, deliver, and re-serve your assets to buyers who purchased or licensed them before termination, for as long as those buyer licenses remain in effect.
If copyright does not subsist. Copyright does not attach to every work, and whether it does can vary by jurisdiction. Where copyright does not subsist in an asset — or is later found not to — the license granted above may convey nothing. In that case you grant DungeonStock the same permissions as a matter of contract rather than copyright, on the same terms, scope, and survival conditions as that license, and you agree not to assert any other right to prevent those uses or the buyer licenses you have authorized. This gives us nothing beyond what the license above would have given us, and does not change what you own.
AI training. DungeonStock does not use your assets to train, fine-tune, or develop generative artificial-intelligence models. Automated processing of your assets is limited to operating the platform, such as search indexing and content moderation.
Moral rights. To the extent permitted by applicable law, you waive, in favour of DungeonStock and buyers, the moral rights you may have in your assets solely to the extent necessary to permit the uses licensed under this agreement and the Buyer License (including modification or remixing without attribution).
3. Content Standards
All uploaded assets must comply with DungeonStock's content guidelines. You represent that you have the right to upload and sell each asset. Assets that violate community standards, infringe third-party rights, or contain prohibited content may be removed without notice. Repeated violations may result in account suspension or termination.
4. IP Representation & Indemnification
You represent and warrant that you own, or have all necessary rights, licenses, consents, and permissions to upload, sell, and grant DungeonStock the license described in Section 2 for every asset you upload. You will indemnify, defend, and hold harmless DungeonStock, its officers, employees, and agents from any third-party claim, damages, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to (a) your uploaded content, (b) your breach of this representation, or (c) your violation of applicable law or third-party rights.
5. Payout Terms
Payouts are processed via Stripe Connect. You must complete Stripe Express onboarding, including identity verification and tax form collection (W-9 or W-8BEN as applicable), before receiving any payouts. Earnings from each sale are held for a 14-day review window before becoming eligible for payout, and eligible balances are paid out on a monthly cycle via Stripe Connect. Stripe's standard processing times apply once a payout is initiated. Minimum payout threshold is $25.00 USD. See the Payout Agreement for full payout terms.
6. Platform Obligations
DungeonStock will provide the marketplace infrastructure, payment processing, content delivery, and customer support for buyer transactions. DungeonStock will make reasonable efforts to maintain platform availability but does not guarantee uninterrupted service.
6.1 Ranking, Curation & Differentiated Treatment
Main ranking parameters. How your products appear in browse and search is determined mainly by: relevance to the buyer's query; a Bayesian-weighted average of your product's ratings (so that a small number of ratings does not dominate); recency of publication; and editorial curation badges (New, Rising, Staff Pick, Editor's Pick), which are time-limited. No creator can pay for a higher organic ranking.
Differentiated treatment. Curation badges and homepage placements are editorial selections made by DungeonStock and are not available for purchase. Pro-subscriber buyers may receive certain perks (such as earlier drop notifications). We apply the same core ranking logic to all creators.
Statement of reasons & notice. If we restrict, suspend, remove, or demote your content or account, we will give you a statement of the reasons where required by law, and — except for illegal content or where we are legally obligated to act immediately — at least 30 days' notice before terminating your account.
7. Termination
Either party may terminate this agreement at any time by providing written notice. Upon termination:
- Your assets will be delisted from sale within 7 business days. DungeonStock may continue to host and deliver assets to buyers who licensed them before termination, as described in Section 2.
- Existing buyer licenses for previously purchased assets remain valid in perpetuity.
- Pending payouts will be processed within 30 days of termination.
- You may request a copy of your uploaded assets at any time.
Sections that by their nature should survive termination — including Section 2 (license survival for existing buyers), Section 4 (IP Representation & Indemnification), and Section 8 (Limitation of Liability) — survive.
8. Limitation of Liability
DungeonStock's total liability under this agreement shall not exceed the total fees collected from sales of your assets in the 12 months preceding the claim.
9. Governing Law
This agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Disputes will be resolved through binding arbitration seated in Toronto, Ontario; the courts of Ontario have exclusive jurisdiction for matters that fall outside arbitration (e.g., small claims or enforcement of an award).
10. Assignment
DungeonStock may assign this agreement, and its rights and obligations under it, including to a successor in connection with a merger, acquisition, reorganization, or sale of assets. This ensures a successor can continue to operate the platform and honor existing buyer licenses. You may not assign this agreement without DungeonStock's prior written consent.
