Payout Agreement

1. How this agreement fits
This Payout Agreement is part of the Creator Agreement. Section 5 of the Creator Agreement sets what you earn, both when buyers purchase your products directly and from your share of the revenue pool. This agreement sets how and when we pay those earnings to you.
If the documents conflict:
- On payout matters, this agreement takes priority over the Creator Agreement and the Terms of Service, as section 1 of the Creator Agreement says.
- A separate written arrangement between you and Dungeonstock takes priority over this agreement, but only for what it covers.
2. Getting set up
We pay you through Stripe Connect, or another payout provider we offer you. Before we can send you a payout, you must finish your payout provider's onboarding. That includes verifying your identity and giving your bank details and tax information.
Provider terms. Using a payout provider means you also accept its terms. For Stripe, those are the Stripe Connected Account Agreement and the Stripe Services Agreement it includes. Keep the details you give your provider accurate and up to date.
Your payout account. We send each payout to the account you set up with your payout provider. In this agreement, we call it your payout account.
Before you finish onboarding. You can still earn. Your earnings build up in your balance, and we pay them on the normal schedule once you've finished.
3. Holds
Sales. Earnings from a sale are pending for 14 days after the sale. This is our review window. Each day, the earnings that have finished their 14 days move to your available balance.
After you change your payout account. When you change the bank or account your payouts go to, we hold your payouts for 5 days as a security check.
Holds for review. We may hold your payouts while we look into suspected fraud, a breach of our terms or policies, unusual activity, or an error in your balance. We lift the hold when the review is done.
4. Payout schedule
Payouts run automatically once a month, on the 5th. Each payout is one transfer of your full available balance to your payout account.
Getting to your bank. Once we send a payout, your payout provider pays it into your bank on its own schedule. For Stripe, that's your Stripe payout schedule, usually 2 to 5 business days.
Paused or extra payouts. We may pause or delay a scheduled payout, for example if there's a problem with the platform. If we do, your balance rolls into the next payout. We may also send a payout outside the monthly schedule.
Seeing your payouts. Your earnings page shows your balance, your pending earnings with the date each one clears, your earnings history and your payouts.
5. Minimum payout
We send a payout only when your available balance is at least $25.00 USD. If it's less on the 5th, it stays in your balance and carries over to the next month's payout. We may change the minimum with notice, as section 11 describes.
6. Currency & fees
Currency. Your balance and your payouts are in US dollars. If your bank account is in another currency, Stripe or your payout provider converts the payout. Its exchange rate and any conversion fees apply.
Fees. Apart from our platform fee under section 5 of the Creator Agreement and amounts we recover under sections 7 and 8, nothing comes off your payout. Your bank or payout provider may charge its own fees, such as for currency conversion.
7. Refunds, chargebacks & negative balances
We decide refunds under our Refund Policy. When a sale is refunded or charged back, the earnings from that sale are reversed. If they were already in your available balance or already paid out, your balance goes down by that amount. It can go below zero.
Negative balances. We recover a negative balance from your future earnings before we send any new payout. We never debit your bank account.
If we win the chargeback, the earnings from that sale go back into your balance.
8. Mistakes in a payout
If we pay you too little, we add a credit to your balance. If we pay you too much, we add a debit, and we recover it the same way as a negative balance under section 7.
If you think something's wrong. If a payout or your balance looks wrong to you, contact support. We'll review it and tell you what we find.
9. Taxes
You're responsible for reporting and paying tax on your earnings. When your payout provider or we ask for tax information, you must give accurate information. Tax information is part of onboarding, so payouts wait until you've given it (see section 2).
Tax forms. Your payout provider may collect tax forms, such as a W-9 or W-8BEN, and may issue tax reports where they're required.
Withholding and reporting. If the law requires us to withhold tax from your payouts or to report your earnings to a tax authority, we will.
10. If your account is suspended or closed
While your account is suspended or under review. We may hold your payouts, as section 3 describes.
When your account or the Creator Agreement ends. Unpaid earnings are paid in the normal payout cycle under this agreement, less any refunds or chargebacks that come in.
If we can't pay you. If you never finish onboarding, or your payout account stays disabled, your earnings stay in your balance until we can pay them. If they still can't be paid after a long time, we'll handle them as the law on unclaimed property requires. We don't keep them for ourselves.
11. Changes to this agreement
We may update this agreement. For material changes, we'll give you at least 30 days' notice by email and on your dashboard. Changes to the minimum payout or to the 14-day review window count as material and need the same notice.
Changes don't affect payouts we've already sent.
If you don't accept the changes, you can stop selling and end the Creator Agreement before they take effect.
