1. Acceptance of Terms
By accessing or using DungeonStock ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. Eligibility & Minimum Age
You must be at least 18 years old to use DungeonStock, whether as a buyer or a creator. By accessing or using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
3. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
4. Content Ownership
Creators retain ownership of assets they upload. By uploading, creators grant DungeonStock the license described in the Creator Agreement. Buyers receive a license to use purchased assets under the Buyer License; they do not own the underlying copyright.
4.1 Incorporated Policies
Your use of the Services is also subject to our Privacy Policy, Refund Policy, and Acceptable Use Policy, each of which is incorporated into these Terms by reference. By accepting these Terms you also accept those policies.
5. Purchase Terms
All purchases of digital content are final once you download a purchased file. Because assets are delivered digitally and immediately, you consent at checkout to immediate delivery and acknowledge that you thereby waive any statutory right of withdrawal — including the EU/EEA 14-day right of withdrawal under the Consumer Rights Directive — once download begins. The sale is then final and non-refundable except as required by law or as described in Section 6. Subscriptions retain the EU/EEA 14-day right of withdrawal, which you may exercise within 14 days of your subscription starting via the withdrawal function in subscription settings. If you expressly ask us to begin your subscription during that 14-day period and then withdraw, you agree to pay a proportionate amount for the service already provided up to the moment of withdrawal. After the 14-day period, you may still cancel at any time to stop future renewals, but that cancellation is not a statutory withdrawal. DungeonStock Inc. is the merchant of record for all sales (responsible for delivery, payment, and refunds) and collects and remits applicable sales taxes (VAT/GST/HST and equivalents). Individual creators warrant the content they list, and each product page shows whether the seller is a business (trader) or a private individual.
5.1 Virtual Currency (Gold)
"Gold" (gp) is a limited, revocable license to a virtual credit redeemable only for content on DungeonStock. Gold is not money, e-money, a deposit, stored value, or a security, has no cash value, and cannot be redeemed or exchanged for cash; it may not be transferred, sold, or assigned. You may receive Gold as an allowance with a subscription or purchase it directly. Purchased Gold and Gold spent to redeem content are non-refundable, except where required by law or at our discretion. Gold does not expire while your account is in good standing. If we discontinue the Platform, we will give advance notice and at least 30 days to redeem remaining Gold before it is disabled.
6. Refund Policy
You may request a refund within 14 days of purchase. Requests are evaluated case-by-case at DungeonStock's discretion — common grounds for approval include defective files or assets that are materially not as described — and approved refunds are issued to the original payment method. Duplicate purchases are prevented at checkout; in the rare case one still occurs, contact support and we will refund it.
Separately, and regardless of the discretionary window above, EU/EEA consumers keep their statutory rights: the right of withdrawal (subject to the digital-content and subscription rules in Section 5) and statutory conformity remedies where content is defective, corrupted, or materially misdescribed. 7. Chargebacks & Disputes
Initiating a chargeback without first contacting DungeonStock support may result in account suspension. We reserve the right to contest chargebacks we believe are unfounded.
8. Prohibited Conduct
You agree not to: (a) upload content you do not own or have rights to, (b) upload illegal, infringing, or harmful content, (c) attempt to bypass watermarking, DRM, or license checks, (d) resell or redistribute purchased assets outside the license granted, (e) scrape, reverse-engineer, or abuse the Platform.
9. Intellectual Property
The Platform, its code, branding, and curated data are owned by DungeonStock. User-uploaded content remains owned by the creator subject to the license in the Creator Agreement.
9.1 Copyright & Repeat Infringers
DungeonStock responds to notices of alleged copyright infringement in accordance with the U.S. Digital Millennium Copyright Act (DMCA) and other applicable law. To submit an infringement notice or counter-notice, see our Copyright / DMCA Policy. Consistent with our safe-harbour obligations, we maintain and enforce a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers.
10. Termination
We may suspend or terminate accounts that violate these Terms. You may terminate your account at any time through account settings. Sections that by their nature should survive termination (ownership, liability, arbitration) will survive.
11. Disclaimer of Warranties & Limitation of Liability
The Platform and all assets are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. DungeonStock does not warrant that the Platform will be uninterrupted, error-free, or secure, or that any asset will meet your requirements. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you; nothing in this Section removes any warranty, guarantee, or right that cannot be excluded under applicable law, including the non-excludable statutory rights of consumers.
To the maximum extent permitted by law, DungeonStock's total liability arising out of or relating to these Terms shall not exceed the greater of (a) amounts paid by you to DungeonStock in the 12 months preceding the claim, or (b) USD $100. DungeonStock is not liable for indirect, incidental, consequential, or punitive damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11.1 Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless DungeonStock Inc., its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with (a) content you upload, list, or distribute through the Platform, (b) your violation of these Terms or any applicable law, (c) your infringement of the intellectual-property or other rights of any third party, or (d) your misuse of the Platform. This obligation does not apply to the extent a claim arises from DungeonStock's own breach, nor to any liability that cannot be imposed on you under applicable consumer-protection law.
12. Mandatory Arbitration & Class Action Waiver
Except for disputes that qualify for small claims court, any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration seated in Toronto, Ontario, under the Ontario Arbitration Act, 1991. You waive the right to participate in a class action or class arbitration.
Consumer exception. Nothing in this Section limits any right you have that cannot be waived under applicable consumer-protection law. If you are a consumer, the consumer-protection legislation of your province, territory, state, or country may give you rights that prevail over the arbitration and class-waiver provisions above, and where they apply, those rights govern. In particular: in Ontario, the Consumer Protection Act (as amended or replaced) preserves your right to commence an action in the Superior Court of Justice and to participate in a class proceeding; in Quebec, you may not be required to arbitrate, be denied access to the courts, or be made to waive participation in a class action; and consumers in British Columbia, Alberta, and other provinces have similar non-waivable protections.
Opt-out. You may opt out of arbitration by sending written notice to legal@dungeonstock.com within 30 days of first accepting these Terms.
Severability. If the class-action waiver or the arbitration requirement is found unenforceable as to a particular dispute or in your jurisdiction, that dispute shall be resolved by the courts identified in Section 13, and the remainder of these Terms stays in effect.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to Section 12, the courts of Ontario have exclusive jurisdiction.
13.1 Assignment
DungeonStock may assign these Terms, including to a successor in connection with a merger, acquisition, reorganization, or sale of assets, so the successor may continue operating the Platform and honoring existing licenses. You may not assign your rights under these Terms without our consent.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be announced via an in-app notice and will require your acceptance. Continued use after the effective date constitutes acceptance.
14.1 General Provisions
(a) Entire Agreement. These Terms, together with the policies incorporated in Section 4.1 and any separate agreement you enter into as a creator, form the entire agreement between you and DungeonStock regarding the Platform and supersede any prior understanding on that subject.
(b) Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
(c) No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later. A waiver is effective only if made in writing by an authorized representative of DungeonStock.
(d) Force Majeure. DungeonStock is not liable for any delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, governmental action, and failures of power, internet, or third-party providers (including payment processors, hosting, and content-delivery networks).
(e) Feedback. If you send us suggestions, ideas, or feedback about the Platform, you grant DungeonStock a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate it without restriction or obligation to you.
(f) Export Controls & Sanctions. You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive trade sanctions, and that you are not on any government list of prohibited or restricted parties. You agree to comply with all applicable export-control and sanctions laws when using the Platform.
